Agency Agreement

This agreement applies when an agency uses Approvela to manage client review and approval. It sits alongside the Terms of Service.

UPDATED 10 OCTOBER 2026
01

Agency responsibilities

The agency controls its projects, client invitations, included rounds, additional-round pricing, approval windows and the material submitted for review.

The agency is responsible for the accuracy of the project terms shown to its client and for making sure invited reviewers have authority to give feedback or approve.

02

Client relationship

Approvela presents rounds, limits and prices to the client on the agency's behalf. The commercial agreement remains between the agency and its client, and the agency remains responsible for delivery of the work itself.

The agency must not present the review record as anything other than what it is: a record of activity in the service.

03

Connected payments

Additional-round payments are processed by Stripe and settle to the agency's connected Stripe account. Onboarding that account requires the agency to accept the Stripe Connected Account Agreement and complete Stripe's verification.

Processing fees, refunds, chargebacks, payout timing and tax obligations on those payments are matters between the agency, its client and Stripe. We do not hold agency funds.

04

Project records and privacy

We record review events and issue an approval receipt. The agency remains the controller of its client's personal information and is responsible for its own record-keeping, privacy notices and retention obligations.

The Data Processing Addendum governs our handling of personal information the agency puts in the service.

05

Origins and credentials

Where a project connects a staging site, the agency confirms it is authorised to expose that site for review. Stored origin credentials are encrypted, but the agency should use review-only credentials where its host allows it.

Private and unsafe network destinations are rejected, and origins outside the allowlist are refused.

06

Suspension and termination

Access may be suspended to protect customers, the service or third parties, or where required by law. On termination the agency may export its project records during the read-only period described in the Terms of Service.
