LEGAL
Terms of Service
These terms form the agreement between Sam William Leverenz (ABN 19 624 756 890) and the agency that subscribes to Approvela.
UPDATED 10 OCTOBER 2026The service
Approvela is a client review and approval workflow. An agency publishes a version of a website for review, the client leaves feedback inside a numbered round, and the project closes with a recorded approval and receipt.
The service supports the review of websites the agency is authorised to publish for review. It does not provide legal, accounting or other professional advice and does not replace the agreement between an agency and its client.
Accounts and authority
You must give accurate account information, keep credentials secure, and tell us promptly if you believe an account has been compromised.
You are responsible for everything done under your account and by the people you invite, including the reviewers you give a review link to. You must only invite people authorised to review or approve the project concerned.
Plans, trials and billing
Plans are billed in advance through Stripe on the cycle shown at checkout. A trial converts to a paid subscription unless it is cancelled before the trial ends.
Plan limits on projects, seats and features apply for as long as the subscription is active. Fees are exclusive of GST and other taxes unless stated, and payments are not refundable except where the law requires it or we agree otherwise in writing.
You may cancel at any time through the billing portal. Cancellation takes effect at the end of the paid period, after which the workspace becomes read-only.
Rounds and additional work
Included rounds, the price of an additional round and the approval window are disclosed to the client before review begins.
An additional round is optional and opens only once payment is confirmed. That payment is made to the agency's own connected Stripe account; we charge a subscription, not a commission.
A missed edit already recorded in a previous round can be corrected without consuming another round, at the agency's discretion.
Approval and records
Approvals, acknowledgements, review activity, timestamps and network context are recorded and retained as evidence of the review process, and a numbered receipt is issued on approval.
Those records are made available to the agency. They describe what happened in the service; they are not a substitute for the agency's own contract with its client.
Your content
You keep all rights in the material you and your clients submit. You grant us the licence needed to host, process, transmit, capture and display that material to operate the service.
You must have the rights to submit the material you put in the service, including any staging site you connect and any credentials you store for it.
Acceptable use
You must not use the service unlawfully, upload malicious material, interfere with its operation, probe or bypass its security controls, attempt to reach another customer's information, or connect an origin you are not authorised to access.
Attachments are limited by type, size and count, and are scanned before they can be downloaded. We may remove material and suspend access where use breaches these terms or threatens the service or a third party.
Availability and support
We aim to keep the service available but do not promise uninterrupted operation. Maintenance, third-party outages and events outside our control can interrupt it.
Support is provided by email at support@approvela.com. Security reports are welcome at security@approvela.com; we ask for a reasonable period to remediate before public disclosure.
Consumer rights and liability
Nothing in these terms excludes rights under the Australian Consumer Law or other law that cannot be excluded. Where liability can be limited, our liability is limited at our option to resupplying the service or paying the cost of having it resupplied.
To the extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, and our total liability in any twelve-month period is limited to the fees you paid in that period.
Suspension and termination
Either party may terminate the agreement by cancelling the subscription. We may suspend or terminate access immediately where required by law, where payment fails, or where use threatens the service, our customers or a third party.
After termination the workspace is read-only for thirty days so records can be exported, then customer data is deleted or anonymised except where we must keep it by law.
Changes and governing law
We may change these terms and will publish the updated version here. Material changes take effect at the start of the next billing period, or thirty days after publication for customers without a subscription.
This agreement is governed by the law of South Australia, Australia, and each party submits to the courts of that jurisdiction.
